Please read these Terms of Service carefully before using DATA4REST Analytics Platform.
These Terms of Service ("Terms") govern your access to and use of the DATA4REST Analytics Platform (the "Service") operated by DATA4REST LLC ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
These Terms constitute a legally binding agreement between you and DATA4REST LLC. By clicking "I agree" or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

DATA4REST Analytics Platform is a cloud-based restaurant analytics service that uses artificial intelligence to analyze restaurant data and provide insights, recommendations, and reports. The Service includes:
The specific analytics packages available to you depend on the data you provide and the capabilities determined by our AI system.
We offer a single subscription tier: $99 per month for 4 analyses per month.
Subscriptions are billed monthly on your signup anniversary date (the date you first subscribed). Your analysis limit resets on your billing anniversary date each month. Unused analyses do not carry over to the next billing period.
You are limited to 4 analyses per month. This is a hard cap with no overage options. If you reach your limit, you must wait until your next billing cycle to run additional analyses.
Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. You are responsible for maintaining valid payment information.
If payment fails, your account will be suspended immediately with no grace period. Stripe will automatically retry failed payments up to 3 times over 3 days. If all retry attempts fail, your subscription will be canceled and access will be terminated.
You may cancel your subscription at any time through the Stripe Customer Portal (accessible from your account settings) or by contacting us at admin@data4rest.com.
Cancellation Process:
• When you cancel, your subscription will remain active until the end of your current billing period
• You will retain full access to the Service, including all analyses and features, until your paid period ends
• On your billing period end date, your subscription will automatically terminate and access will be revoked
• No refunds are provided for partial billing periods or unused analyses
After Cancellation:
• Your analysis results and reports will be retained for 90 days after cancellation, then permanently deleted
• Uploaded data files are automatically deleted 7 days after analysis completion (as per our data retention policy)
• You may resubscribe at any time, but previous analysis results may no longer be available after the 90-day retention period
All payments are final. We do not provide refunds for any reason, including but not limited to unused analyses, service dissatisfaction, or cancellation.
We reserve the right to modify subscription prices at any time. Price changes will be communicated to you at least 30 days in advance and will apply to your next billing cycle.

We collect and process data you provide, including restaurant data files, account information, and usage data. We use this data solely to provide and improve the Service.
Your data is stored securely using third-party services (Supabase) with industry-standard security measures. We implement reasonable security practices, but cannot guarantee absolute security.
Uploaded CSV files:
Analysis results: Retained for 90 days after subscription cancellation, then permanently deleted.
Account data: Retained according to our data retention policy and applicable laws.

You are responsible for ensuring your use of the Service and data collection practices comply with applicable privacy laws, including GDPR, CCPA, and other regulations. We are not responsible for your compliance obligations.
You retain all ownership rights to your data and the analysis results generated from your data. You grant us a limited license to use your data solely to provide the Service.
The Service, including all software, algorithms, AI models, user interfaces, and documentation, is owned by DATA4REST LLC and protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with these Terms.
The Service uses artificial intelligence to assist with data discovery, integration, analysis, and the generation of insights, summaries, and suggested actions. All AI-generated outputs are provided for informational purposes only and do not constitute professional, financial, operational, or business advice. You are solely responsible for evaluating the accuracy, relevance, and applicability of any insights before acting on them.
While we strive for accuracy, AI-generated outputs may be incomplete, incorrect, or based on assumptions. We do not guarantee, warrant, or represent that any AI-generated information will be accurate, reliable, complete, or suitable for your specific circumstances. All insights depend entirely on the quality, structure, and completeness of the data you provide. Errors, omissions, or inconsistencies in your data may result in inaccurate or misleading outputs.
By using the Service, you acknowledge that AI-generated outputs are informational tools meant to support—not replace—your independent judgment and decision-making.
To the fullest extent permitted by law, DATA4REST shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your reliance on AI-generated insights, summaries, interpretations, or suggested actions. This includes, without limitation, any losses relating to revenue, profits, business operations, staffing decisions, pricing, menu changes, financial outcomes, or any other business impacts.
In all cases, DATA4REST's total cumulative liability for any claim related to the Service or AI-generated outputs shall not exceed the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the claim, or $100 if you are using a free or trial version, whichever is greater.
DATA4REST does not guarantee that the use of the Service—or reliance on any AI-generated insights—will result in increased revenue, reduced costs, improved efficiency, or any specific business outcome. Any performance estimates, forecasts, or suggested actions generated by the Service are hypothetical and depend on variables outside our control, including operational decisions, market conditions, staffing, pricing, competition, supplier costs, and the accuracy of your data.
You understand and agree that all business decisions and outcomes are your sole responsibility, and that DATA4REST makes no promises or assurances of financial or operational improvement as a result of using the Service.
We are not responsible for errors, inaccuracies, or incompleteness in data you provide. Analysis quality depends on data accuracy. You are solely responsible for validating and ensuring the accuracy of your data before upload.
THE SERVICE PROVIDES INFORMATIONAL INSIGHTS ONLY AND DOES NOT CONSTITUTE FINANCIAL, LEGAL, OR PROFESSIONAL ADVICE. We are not liable for any financial losses, lost profits, or damages resulting from business decisions you make based on insights from the Service. You assume all risk of using insights for business decisions.
The Service is provided "as-is" and "as-available" without warranties of any kind. We do not guarantee uninterrupted or error-free service. We are not liable for service interruptions, downtime, or unavailability due to maintenance, technical issues, or circumstances beyond our reasonable control.
The Service depends on third-party services (Stripe, Supabase, OpenAI, etc.). We are not responsible for failures, outages, or issues with third-party services. We have no control over third-party API rate limits, service changes, or availability.
While we implement reasonable security measures, we cannot guarantee absolute security. We are not liable for unauthorized access, data breaches, or security incidents resulting from circumstances beyond our reasonable control or due to your negligence (e.g., weak passwords, sharing credentials).
We are not liable for data loss due to user error, system failures, or circumstances beyond our reasonable control. You are responsible for maintaining backups of your data. We recommend exporting and backing up analysis results regularly.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DATA4REST LLC BE LIABLE FOR:
Any claim against us must be brought within one (1) year of the date the claim arose. Claims brought after this period are forever barred.
We are not liable for failures or delays due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, government actions, internet failures, telecommunications failures, or other force majeure events.
The Service does not provide financial, legal, tax, accounting, or professional consulting advice. You should consult qualified professionals for advice specific to your situation.
THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
Some features may be experimental or in beta. These features are provided "as-is" without warranties and may be removed or modified without notice. Use at your own risk.
You agree to indemnify, defend, and hold harmless DATA4REST LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. See Section 4.6 for detailed cancellation information.
We may suspend or terminate your access to the Service immediately, without notice, if you:
Upon termination, your right to use the Service immediately ceases. We will retain your analysis results for 90 days after termination, then permanently delete them. Uploaded data files are deleted according to our data retention policy (7 days after analysis completion).
We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
If you do not agree to modified Terms, you must cancel your subscription and stop using the Service.
These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, United States.
Before filing a claim, you agree to contact us at admin@data4rest.com to attempt to resolve the dispute informally. If we cannot resolve the dispute within 60 days, either party may proceed with formal legal action.
These Terms, together with our Privacy Policy (included herein), constitute the entire agreement between you and DATA4REST LLC regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
